A ready-made sp. z o.o. is already entered in the National Court Register, so there is no wait for a new registration in Poland. If you need a specific name, the company can be renamed after the transfer through a registry amendment.
A ready-made company that is already registered for VAT in Poland. Its VAT number is valid across the EU, so you can invoice EU business clients from day one without waiting for a VAT registration. Invoicing EU business clients also needs a separate VAT-EU registration. Availability is limited, so please ask us for the current options.

Yes. Under the Act on foreign entrepreneurs, foreign persons from outside the EU may set up, join and hold shares in a Polish sp. z o.o., even without a Polish residence permit. Opening a bank account depends on each bank’s own onboarding rules.
No. Polish law sets no nationality or residency requirement for management board members, and a shareholder can also be the only board member. Each board member gives an address for service when the company is registered in the KRS.
The articles of association of a sp. z o.o. are signed as a notarial deed, so the power of attorney is signed before a notary public in your country. For use in Poland it usually also needs an apostille if your country has joined the Hague Apostille Convention, or consular legalisation if it has not, plus a sworn Polish translation.
Poland has treaties with some countries that remove the apostille requirement (see the Ministry of Foreign Affairs); we confirm what applies to your country.
Yes, for a new registration, as long as it differs clearly from names already in the register. Check it in the KRS search; Poland has no name reservation, so we check it again just before filing. A ready-made company can be renamed after the transfer.
Yes. The company’s seat must be in Poland and its address is entered in the KRS, where official letters are sent. Our packages include a registered address in Warsaw.
Polish banks set their own onboarding rules, and some ask a board member to attend in person. For a quick start, most of our clients open an account online with EU providers such as Revolut, Wise or Paysera, and add a Polish bank later. Our banking advisory supports you through both, but the bank makes the final decision.
Every sp. z o.o. keeps full accounting records, files its annual financial statements with the KRS and an annual CIT-8 return by the end of the third month after its tax year. VAT-registered companies file VAT returns as JPK files, and from 2026 invoices are issued through the national e-invoicing system (KSeF). Our accounting partners can handle all of it.
Usually 1 to 2 weeks from the point we have received all required documents, including the signed power of attorney. That covers preparing and translating the documents, filing, and processing by the National Court Register (up to 7 days).
