Yes. Czech company law sets no nationality or residency requirement for members of an s.r.o., and one person can found it alone. Opening a bank account depends on each bank’s own onboarding rules.
No. The executive (jednatel) can live anywhere, and a member can also be the only executive. If a legal entity is appointed as executive, it must name one natural person to act for it.
The founding deed of an s.r.o. is a notarial deed, and a power of attorney to sign it needs your officially certified signature, from a notary in your country. For use in the Czech Republic it usually also needs an apostille if your country has joined the Hague Apostille Convention, or consular legalisation if it has not, plus a Czech translation.
Legal assistance treaties with some countries remove this extra certification (see the Ministry of Foreign Affairs); we confirm what applies to your country.
Yes, for a new registration, as long as it can be told apart from names already registered. Check it in the public register search; there is no name reservation, so we check it again before the notary drafts the deed. A ready-made company can be renamed after the transfer.
Yes. The company’s seat must be in the Czech Republic and its address is shown in the Commercial Register, with the owner’s written consent to use it. Our packages include a registered address in Prague.
Czech banks set their own onboarding rules, and some ask the executive to attend in person. For a quick start, most of our clients open an account online with EU providers such as Revolut, Wise or Paysera, and add a Czech bank later. Our banking advisory supports you through both, but the bank makes the final decision.
Every s.r.o. keeps accounts, files an annual corporate income tax return and deposits its financial statements in the Collection of Documents of the Commercial Register within 12 months of the year end. VAT-registered companies also file VAT returns and control statements. Our accounting partners can handle all of it.
