Yes. The founder of a UAB can be a Lithuanian or foreign individual or company, and Lithuanian law sets no nationality or residency requirement for shareholders. Opening a bank account depends on each bank’s own onboarding rules.
No. The law sets no residency requirement for the manager (director), and a sole shareholder can be the manager. By law the company signs an employment contract with its manager, so a non-EU manager who will live and work in Lithuania may need a residence or work permit.
You sign the power of attorney before a notary public in your country. For use in Lithuania it usually also needs an apostille if your country has joined the Hague Apostille Convention, or consular legalisation if it has not.
The Ministry of Foreign Affairs lists countries whose documents need neither under legal assistance treaties, including Estonia, Latvia, Ukraine and Moldova. We confirm what applies to your country.
Yes, for a new registration, subject to availability: check existing names in the Register of Legal Entities search, and the name can be reserved in the register before filing. A ready-made company can be renamed after the transfer.
Yes. The registered office must be in Lithuania and is shown in the register. Our packages include a registered address in Vilnius.
For a new registration, the initial share capital is paid before filing into an accumulation account at a Lithuanian bank, or into a foreign account with a bank statement as proof. Banks decide on each application themselves. For a quick start, most of our clients open an account online with EU providers such as Revolut, Wise or Paysera, and add a local bank later. We support you through both.
Every UAB approves its annual financial statements within 5 months of the year end and files them with the Register of Legal Entities within 30 days; the annual profit tax return goes to the State Tax Inspectorate. VAT returns follow once the company is registered for VAT, which is required above €45,000 of domestic sales. Our accounting partners can handle all of it.
