Yes. Estonian law sets no nationality or residency requirement for shareholders or board members. Opening a bank account depends on each bank’s own onboarding rules.
You sign the power of attorney before a notary public in your country. For use in Estonia it usually also needs an apostille if your country has joined the Hague Apostille Convention, or consular legalisation if it has not.
No apostille is needed for documents from Latvia, Lithuania, Poland and Ukraine (legal assistance treaties with Estonia) or from Belgium, Denmark, France, Ireland and Italy (1987 Brussels Convention). See the Chamber of Notaries; we confirm what applies to your country.
Yes, for a new registration, subject to availability: check it in the e-Business Register name search, and we confirm it before filing. A ready-made company can be renamed after the transfer.
Yes. Annual reports are filed with the e-Business Register online and tax returns through the Tax and Customs Board’s e-services, so the company can be run from anywhere. Board members can sign digitally with an e-Residency card or Estonian ID.
No. You can sign through a power of attorney or a notary. e-Residency is useful later, because it lets you sign documents and manage the company online; see our e‑Residency guide.
The company’s seat must be in Estonia and its address is shown in the register, where official letters are sent. A foreign address is only possible with an Estonian contact person. Our packages include a registered address in Tallinn.
Estonian banks require a board member to meet them in person; an account cannot be opened by proxy. For a quick start, most of our clients open an account online with EU providers such as Revolut, Wise or Paysera, and add a local bank later. We support you through both, but the bank makes the final decision.
Every OÜ files an annual report once a year, whatever its size; small companies need no auditor. VAT returns are monthly, as are payroll returns when you have employees. Our accounting partners can handle all of it.
