Why Canada
An Ontario corporation needs at least one director, who can live anywhere: the residency rule was removed in 2021.
One shareholder is enough, an individual or a company of any country; directors must be individuals.
Shares have no par value and there is no minimum share capital to pay in before incorporation.
Payment and crypto businesses can register the corporation with FINTRAC as a money services business.

A ready-made Corp. is already entered in the Ontario Business Registry, so there is no wait for a new registration in Canada. If you need a specific name, the company can be renamed after the transfer through a registry amendment.

Not for an Ontario corporation: Ontario removed its resident Canadian director rule on 5 July 2021, so one director living anywhere is enough.
A federal corporation (under the Canada Business Corporations Act) still needs at least 25% resident Canadian directors, and at least one when it has fewer than four. That is why we set up non-resident founders in Ontario.
Both are Canadian companies. A federal corporation can use its name across Canada but needs a resident Canadian director, and it must also register in each province where it does business. An Ontario corporation needs no resident director and is incorporated and registered in one step, so it suits most foreign founders.
Yes. One shareholder is enough, and it can be an individual or a company from any country. The directors must be individuals. Corporations also keep a register of individuals with significant control (25% or more of the shares, or control in fact).
Yes. An Ontario corporation must always have its registered office in Ontario. Our packages include a registered address in Toronto.
Once its taxable supplies exceed CAD 30,000 over four consecutive calendar quarters; it can also register voluntarily. In Ontario the harmonised sales tax (HST) is 13%. Our accounting partners handle the registration and the returns.
The general rates are 15% federal and 11.5% in Ontario. The lower small business rate applies only to Canadian-controlled private corporations, so a company controlled by non-residents usually pays the general rates. The tax return (T2) is due within six months of the end of each tax year.
Yes. A corporation is the usual base for a Canada MSB: it registers with FINTRAC before it starts operating, with documents confirming the company, its ownership and its compliance officer. We can set up both together.
