Yes. Finnish law sets no nationality or residency requirement for shareholders; the residency rule applies to the board and the managing director. Opening a bank account depends on each bank’s own onboarding rules.
No permit is needed if at least one ordinary board member lives permanently in the EEA; deputy members are assessed in the same way, separately. A managing director, if appointed, must also live in the EEA. Citizenship does not matter, only where the person permanently lives.
Otherwise the PRH must grant a permit, for a fee per person. Residents of Switzerland and US citizens living in the US can obtain one; other cases depend on the board as a whole. See PRH permits.
The EEA-resident board member is provided by you; we prepare all the documents and filings.
You sign the power of attorney before a notary public in your country. For use in Finland it usually also needs an apostille if your country has joined the Hague Apostille Convention, or consular legalisation if it has not.
Documents in other languages are filed with a Finnish or Swedish translation. We confirm what applies to your country.
Yes, for a new registration, subject to approval: check it first in the free PRH name checking service. PRH examines the name when the start-up notification is filed. A ready-made company can be renamed after the transfer.
The articles of association must name a municipality in Finland as the company’s registered office, and the company’s address is recorded in the Trade Register. Our packages include a registered address in Helsinki.
Finnish banks apply their own onboarding rules. For a quick start, most of our clients open an account online with EU providers such as Revolut, Wise or Paysera, and add a local bank later. Our banking advisory supports you through both, but the bank makes the final decision.
Every Oy files its financial statements with the Trade Register within 8 months of the financial year end, and a corporate income tax return within 4 months. VAT is reported monthly by default; small companies can apply for a quarterly or yearly period. Our accounting partners can handle all of it.
Usually 2 to 4 weeks from the point we have received all required documents, including the signed power of attorney. That covers preparing and translating the documents, filing, and processing by the Trade Register (about 1 week).
